Core Principle, Non-Profit Foundation, and Neutral Intermediary Role
The Platform operates as a non-profit, free, open, and independent listing and communication environment bringing together technology, software, and design professionals with project creators.
The Platform:
- 1Does Not Receive or Hold Funds: No financial transactions or disbursements take place through the platform. The platform does not provide escrow, wallet, payment guarantees, deposit holding, or credit insurance; it is not a payment or credit institution.
- 2Is Not Party to Service Contracts: Offer acceptance opens a private bilateral match and direct communication channel. It does not constitute a platform-guaranteed, endorsed, or co-signed final service contract. Bilateral legal relations exist exclusively between counterparties.
- 3Does Not Adjudicate Commercial Disputes: Disputes regarding deliverables, milestones, quality, fraud, or payments must be settled directly between counterparties or before competent judicial authorities; the platform does not act as an arbitrator, mediator, or tribunal.
- 4Zero Commercial Risk: The Platform has zero financial interest and assumes zero commercial or operational risk in bilateral transactions.
- 5Lawsuit and Aggrieved Party Immunity: Users—even in the event of default, scam, non-payment, or deficient deliverable by a counterparty—must direct all claims solely against the offending counterparty. Users agree not to file lawsuits or damage claims against the Platform, its directors, or employees, and irrevocably discharge all such rights.

Sample Contract Draft Disclaimer
- 1The sample bilateral service contract draft (PDF) provided within matched collaboration workspaces is supplied solely as an informational reference template to help counterparties self-protect their rights.
- 2The template does not constitute formal legal counsel or an attorney-client relationship.
- 3Executing, amending, or signing the contract draft is at the sole discretion of the counterparties. The Platform is not a party, guarantor, or surety to any such draft.
SECTION 3#
Software Security, Vulnerability, and Defect Disclaimers
- 1The Platform provides zero technical or legal warranty that source code, scripts, software, or architectures delivered by contractors are free from zero-day vulnerabilities, security flaws, backdoors, malware, data leakages, or performance degradation.
- 2Penetration testing, source code auditing, and user acceptance testing (UAT) are strictly the client's sole responsibility.
SECTION 4#
Financial and Regulatory Indemnity
Users are individually liable for tax filings, corporate declarations, invoicing compliance, and statutory duties. No civil, administrative, or tax penalties may be attributed or passed through to the Platform.
To the maximum extent permitted by applicable law, users acknowledge and accept these limitations upon using the platform.
